    MEMBER STATEMENTS ​ 1. District 16: Wendy Halley - Third Year Member; Term ending 2024 Wendy and her family moved to Bronxville in 2015. Her twin daughters attend the Bronxville Middle School and her son attends the Bronxville High School. Wendy is an executive and attorney with over 20 years of experience in music, media, and entertainment. Most recently, Wendy was an in-house music lawyer for Twitch, a subsidiary of Amazon. Wendy received her JD from NYU School of Law and her undergraduate degree from the University of California, Berkeley. Wendy previously served on the board for The Community Fund and currently serves on the fund board for the Bereavement Center of Westchester/Treehouse. ​ Wendy, who served as Chair this year, will be serving the last year of her NPC term in the coming year, having originally been elected to serve a partial term, and then re-elected to serve a full three year term. ​ 2. District 16: Simone Kane (Secretary / Treasurer) Second-year member; Term ending 2025 Simone and her husband have lived in Bronxville since 2018 with one child at Bronxville High School and one as a freshman in college. With a BFA from Carnegie Mellon University, Simone has worked for ad agencies, design firms, and publishers. She enjoys volunteering locally as a member of the PTA DEI Committee, co-chairing the Lunar New Year Celebration, and the International Fair. Simone is a Bronxville Field Club member and is on the BFC House Committee. ​ 3. District 16: PAUL HEATHWOOD - Incoming member; term ending 2026 Paul Heathwood has lived in Bronxville for 12 years, with three children attending the Bronxville School, two in the High School and one in the Middle School. Paul is an investment management professional with Boston Partners Global Investors. Paul has a degree in Economics from the University of Colorado and holds the Chartered Financial Analyst designation. He has also volunteered extensively for the past seven years as a baseball and soccer coach for TYA and EYSA respectively. ​ In his own words, “The Bronxville School and the education our children receive is the centerpiece of our village. I would like to give back to our community by volunteering my time and efforts to help ensure that we continue to have a strong Board of Education. My wife, Jennifer Heathwood has been active with the Bronxville School PTA, serving as President and in many other roles over the last 10 years. And, my sister, Jennifer Russo, is wrapping up 6 years of service on the Bronxville School Board of Education. I would like to continue our family tradition of volunteering for our school and giving back to the Bronxville community.” ​​ 4. District 17: Laura Busker - Third-year member; Term ending 2024 Laura and her husband David have lived in Bronxville since 2018. They have two children who currently attend the Bronxville Middle School. For the past decade, Laura’s focus has been on community and family. She has served on the board of CASA NYC, the Junior League (Dallas/NYC/BXV), and as a Crisis Text Line volunteer. In Bronxville, Laura is currently serving as a Board Member for The Community Fund, an MS Council Member, and a Deacon at the Reformed Church in addition to her role on the NPC. Prior to volunteering, Laura worked at American Express and as a portfolio manager for the Trammel Crow family office. Laura has an undergraduate degree in Economics from Vanderbilt University and an MBA from the University of Texas. ​​ 5. District 17: MICHAEL UTELL - Incoming Member; Term ending 2025 Michael Utell and his wife Whitney have lived in Bronxville for nine years, the past two and a half in the school district. They have two children in the Bronxville Elementary School. Michael is the CEO of the software engineering firm CodeScience and holds an MBA from the Duke University Fuqua School of Business and his undergraduate degree from Syracuse University. ​​ In his own words, “The Bronxville NPC is a tremendous asset to our village: an organization that evaluates, without prejudice or bias, members of our community who are equipped to take responsibility for shaping the policies, curriculum, and finances of our school that is in so many ways the heart of this town. We are so fortunate to have a team of interested and engaged residents in the NPC who provide a service to Bronxville by performing diligent candidate identification and vetting so that a confident and well-informed endorsement can be made of those who will prioritize both the best interests of our school and the balanced education of our children above all else.” ​​ “I welcome the opportunity to become a part of the NPC team; and to serve our community by ensuring that our School Board is comprised of the leadership needed to carry forward the tradition of excellence that our school prides itself on. My objective will be to confidently articulate to my community and my neighbors that the candidates that the NPC puts forward have the best qualifications and the right intentions for joining our School Board. That the individuals have appropriate motivations for running, that they bring a skillset to the Board that complements the existing members, that they have the level of commitment required for the demands of the role, and that they intend to represent the entirety of the Bronxville community. Our village needs to have confidence in the NPC vetting process, and we should feel assured that the NPC selected those they put forward in an ethical, collaborative, and non-partisan manner. I appreciate the opportunity to join this committee to represent District 17 in bringing this confidence and carrying out the mission of the NPC.” ​​ Through his business, Michael is actively involved in community and volunteer work in metropolitan areas across the country. ​ 6. District 17: MATT CHRIST - Incoming new member; Term ending 2026 Matt and his wife Lindsey have lived in Bronxville for two years. They have two children at the Bronxville Elementary School and a six-month-old future Bronco. Matt is a debt investor for emerging markets and climate at Ninety One, where he invests in companies and projects that are leading to global decarbonization. He is a graduate of Middlebury College, with a degree in English and French, and holds an MBA from Columbia Graduate School of Business, with a focus on Value Investing. Matt's volunteer work has included being a Big Brother with the Big Brothers Big Sisters of America, serving as an alumni interviewer, reunion chair, and class agent for 15 years for Middlebury. He has also volunteered with the Good Dog Foundation in New York and Aspire, a tuition-free academic enrichment and leadership program in Cleveland for high-achieving students from under-resourced schools. ​​ In Matt’s own words, “Growing up the son of the head of a high-performing K-12 school, I have long understood the transformative power of accomplished academic leadership supported by a strong, dedicated board. For a school to thrive and excel, good governance is critical - and here that starts with recruiting, vetting, and electing Trustees who will work tirelessly to uphold the Bronxville Promise. The NPC is a unique institution, born of the community and committed to operating above politics to serve our common goal: an excellent school, that allows every child in the Village to grow and thrive. I would be honored to dedicate myself to this effort." ​​​ 7. District 18: Tatiana Castro-Taboas (Vice Chair) - Third-year member ; Term ending 2024 Tatiana Castro-Taboas has lived in Bronxville since 2015. After a few years abroad, Tatiana and her husband, Alex returned to New York and chose the village as the future home for their young family. Her oldest child, Antonia attends Bronxville Middle School and is in seventh grade, and her younger two children, Martina and Joaquin, attend Bronxville Elementary and are in second and first grade, respectively. ​ Tatiana is a NY-licensed real estate salesperson and works locally at Julia B Fee Sotheby’s. She holds a Bachelor’s degree in International Business from Universidad EAFIT in Medellin, Colombia, and a Master’s degree in International Relations from New York University. Tatiana is an active volunteer at the Bronxville School. She is a current member of the PTA DEI Committee and is co-chair of the Bronxville School International Fair. ​ Tatiana served on the NPC Executive Committee this year as Secretary and will take on the role of Vice Chair in the coming year. ​ 8. District 18: Vincent McBride (Vice Chair) - Second-year member ; Term ending 2025 Vincent McBride and his wife Michelle have lived in Bronxville since 2009, and have three children. Their two sons currently attend Bronxville High School, and their daughter graduated and now attends Boston College. Vincent is a Partner & Portfolio Manager Global Equities 2003-present Lord, Abbett & Co., and previously worked with Warburg Pincus & Co. He is a graduate of the University of Delaware and obtained his MBA in Finance from Rutgers University. In addition to serving for six years as a Bronxville School Foundation Board member, Vincent has been a coach for TYA, AYYA, and Bronxville 5/6 grade football. ​ 9. District 18: KATELIN O’ROURKE GORMAN - Incoming New Member; Term ending 2026 Katelin and her husband Michael have lived in Bronxville for about two years. They have a four-year-old attending RCNS. Katelin is an attorney and partner at Clyde & Co LLP, and earlier in her career, served as a law clerk for the Hon. Charles L. Brieant, Jr. (US District Court for the Southern District of NY). She is a graduate of The Ursuline School, Boston College with a degree in History, and New York Law School. Within the community, Katelin has served this past year as the RCNS Asst Treasurer and will serve again as RCNS Treasurer next year. She has also held several mentoring and leadership roles, past and present, including as a member of Clyde & Co LLP’s Management Board, a Clyde & Co LLP Women's Initiative Founding Partner and Chair, a Fordham Law Negotiation Competition Coach, and the NYC Bar Association’s High School Pipeline Committee Co-Chair, among others. ​ In her own words, Katelin would “like to volunteer on the NPC because I sense an earnest desire for discussion between trustee candidates and the community, and I want to help that engagement however I can. Providing opportunities to discuss the issues, trustee candidates’ solutions, and the principles and practicalities underlying those solutions are the hallmarks of what the NPC can offer, through respectful debate, information sharing, and dialogue. In my work and in life, I always try to build consensus through connection. Here, I would like to help our community and future candidates find as many ways as they can to connect on proposed plans for the continued excellence of our school.” ​ 10. District 19: Jonathan Beer - Third year member; Term ending 2024 Jonathan and his wife have lived in Bronxville since 2015. They have twin boys in Bronxville Elementary School. Jonathan spent 20 years working on Wall St. in Fixed Income, before becoming a writer. He is currently completing his MFA from Sarah Lawrence College. He is also Treasurer of the School’s BASC program, a member of the PTA Executive Committee and a board member of the Hilltop Association. ​ 11. District 19: Alexandra Hoopes Remmel - Second-year member; Term ending 2025 Alexandra Hoopes Remmel and her husband Towson Remmel have resided in Bronxville since 2020. They have three children, two of whom attend Reformed Church Nursery School. Alexandra is on the board of the Reformed Church Nursery School serving as the Fundraising Co-Chair. Alexandra is a graduate of The Juilliard School, where she majored in violin performance. Alexandra is currently at J.P. Morgan Private Bank as a Vice President Banker. Prior to J.P. Morgan Private Bank, Alexandra worked at Morgan Stanley Wealth Management for eight years, both as a Wealth Advisor and in Business Development. Prior to her time at Morgan Stanley, Alexandra was a member of the Campaigns and Special Projects team at Carnegie Hall, working directly with the Board of Trustees and raising funds for the construction of the Hall’s Resnick Education Wing. ​ District 19: TSHERING AMDO, M.D. - New Member; Term ending 2026 Tshering (Jerry) has lived in Bronxville since 2019. He and his wife have three children currently in Bronxville Elementary School. Before that, the children attended RCNS. ​ Tshering is an Associate Professor at NYU Grossman School of Medicine and the Pulmonary and Critical Care Section Chief at NYU Langone Health-Brooklyn. He is concurrently pursuing an Executive Master's Degree in Health Administration at Cornell University, Ithaca, NY. In the past, Tshering founded a non-profit organization, Global Tibetan Professionals Network. GTPN is a volunteer-based networking forum consisting of Tibetan professionals from North America. The organization aims to connect and build a support network of Tibetan professionals in North America and globally. The organizational goals are to mentor aspiring young Tibetans through networking and sharing ideas, information, and resources. In his words, "Bronxville Village is a great place to live and bring up your precious young ones. But we can make this place better and safer. We engage in efforts to make Bronxville a walk and bike-friendly town. We petition to keep our village safe for children and everyone to walk and bike around the village without traffic hazards. I am eager to collaborate with like-minded people to initiate and create change." And regarding his desire to serve on the NPC, "Each of us has transcended from being individuals to life partners to parents. Our children and our school community are important aspects of our lives. I can contribute by using my innate leadership skill sets and participating in discussions and policy-making to build a better future for our children in the school and the community. I want to be an integral part of a dedicated committee that focuses on our children's growth while focusing on community engagement, collaboration, and innovation." ​ 13. District 20: Robert Andrews, M.D. - Third-year member; Term ending 2024 Robert Andrews has lived in Bronxville since 2013. He has three children currently attending both middle school and high school. He is the Vice-Chair of the Department of Surgery at Northwell Health - Lenox Hill Hospital and holds a faculty appointment at the Zucker School of Medicine. He participates in many philanthropic, volunteer, and research efforts mostly related to his interest in medicine. ​ 14. District 20: Tracey Di Brino - Second-year member ; Term ending 2025 Tracey and her husband Alex have lived in Bronxville since 2014. They have two children attending preschool. Tracey has been in real estate for over 17 years and is currently an Associate Broker with Houlihan Lawrence Residential and Commercial Group. Tracey is a member of the Junior League of Bronxville and has served as a board member for the Women's Enterprise Development Center in White Plains. She also serves as a parent volunteer at the Reformed Church Nursery School and as President of Beverly Gardens here in Bronxville. ​ 15. District 20: Jose Manuel Rodriguez - Second-year member; Term ending 2026 Jose Manuel Rodriguez and his wife Dana have lived in Bronxville since 2011. Their two children attend the Bronxville Middle School and the Bronxville Elementary School. Jose has been the sole proprietor of XMR Trading since 2012 and led a career in institutional investor sales. Jose recently completed an immersive software engineering program to pursue his interest in technology. He is a graduate of the University of Buffalo. ​ Jose ran for re-election to his NPC District, after serving the final one-year term of a previous NPC who left the NPC. ​​ 16. District 21: James Cherundolo (New Chair 2023-24) - Third-year member; Term ending 2024 Jim and his wife, Olivia, have been residents of Bronxville since 2018. They have two children who attend the Bronxville Elementary School. Olivia is a management team member of the Junior League of Bronxville and a passionate baker. Jim is a co-founding investor in Nutshell Asset Management, a long-only, global equity fund, and actively manages his personal investment portfolio. Prior work experience includes being an investor and operator in two start-up companies, as well as 17 years as a senior banker at J.P. Morgan, working directly with public and private companies’ senior management and Board of Directors. Jim is a Den Leader in Cub Scouts, Bronxville Pack 5, and has previously served on the Junior Board of Directors of the Saint Vincent de Paul Center (Chicago, IL), an organization devoted to promoting vital programs and services in areas of early childhood education, youth services, and community outreach services to families in need. Jim has a BA in Economics from Wabash College, spending his entire junior year as a visiting student at the London School of Economics, and an MBA from the University of Chicago Booth School of Business. ​ 17. District 21: Anne Marie Hein Niogi - Second-year member ; Term ending 2025 Anne Marie and her husband Sumit have lived in Bronxville since 2010. They have three daughters who attend the Bronxville Elementary School. Anne Marie’s career has spanned academia, finance, and industry (biotech/pharma). She currently works in Business Assessment for Pfizer’s Commercial Strategy and Innovation organization. Before joining Pfizer, for more than a decade, she worked in life sciences strategy consulting, and previous to that worked in investment banking at Lehman Brothers. Anne Marie holds a Ph.D. from the Biochemistry, Cellular and Molecular Biology Program of Weill Cornell Graduate School of Medical Sciences, and is a graduate of Fordham University. She is an active parent volunteer at the elementary school and coaches basketball at St. Joseph’s. ​ 18. District 21: Hugh Allan - incoming Member; Term ending 2026 Hugh and his wife, Andrea, have been residents of Bronxville since 2019. They have a daughter who attends Bronxville Elementary School. Hugh and Andrea are members of The Reformed Church of Bronxville and the Bronxville Field Club. ​ Hugh worked in finance for 20 years and transitioned careers to become a mental health therapist five years ago. Hugh currently has a private therapy practice in Bronxville. Hugh works with patients who are facing mental health challenges such as anxiety and depression. Hugh also works at The Parallax Center in New York which is an outpatient substance abuse facility. ​ Hugh graduated from St. Lawrence University and received his Master's Degree at the NYU Silver School of Social Work. ​ Hugh wants to serve on the NPC to participate in the process of finding the most qualified leadership to help ensure that the school and community provide an enriching environment for his daughter. ​ 19. District 22: Donald Bringle - Returning member; Term ending 2024 Don and Emily Bringle have been residents of District 22 in the Bronxville Community since 2013. They have two children, both currently in the 8th grade at the Bronxville Middle School. Don attended the U.S. Naval Academy and subsequently served as an officer in the U.S. Navy. Following that, Don has been a commercial airline pilot. Don is active in the community including at Reformed Church and as a parent volunteer for the school and coaching youth athletics, including EYSA. Don applied and was appointed to serve the NPC for District 22 to fill a temporary vacancy due to a member's resignation in October. Don previously served the NPC from 2015 to 2019. ​ Don volunteered to serve a partial term as an NPC member, who resigned in the Fall of 2022 with two years left of that term. ​ 20. District 22: Michael Girimonti - Second-year member ; Term ending 2025 Michael and his wife, Gladys, moved to Bronxville from Manhattan and have been residents here since 2020. Their son attends the Bronxville Middle School. Michael is a construction lender at Builders Capital and previously worked at Lehman Brothers, JP Morgan, and Natixis financing commercial real estate. Michael graduated from the University of Hawaii with a BS in Geophysics, has an MA in Architecture from the University of Pennsylvania and an MS in Commercial Real Estate Finance from New York University. ​ 21. District 22: Jamie Abruzzo - Incoming new member; Term ending 2026 Jamie Abruzzo is a lifelong village resident and graduate of the Bronxville School. She is active in the community as a member of the Junior League. ​ Jamie has worked in real estate since 2000 and is currently an associate broker at Julia B Fee Sotheby’s in Bronxville. Previously, Jamie was an international private banking relationship manager at Citicorp and Banco Santander. Jamie has a Bachelor of Science in Languages and Linguistics from Georgetown University. ​ Jamie believes that her lifelong experience as a resident and Bronxville graduate can make a valuable contribution to the NPC.

MORE INFORMATION ABOUT THE NPC AND MEMBERSHIP ​ Our 21 members are elected into seven districts (see map ), ea ch serving three-year terms. We meet during the school year, typically on Tuesday nights at 7 pm. To join the NPC and represent your district, you can apply to be on the ballot. ​ Note: NPC Member Applications are due Tuesday, May 28th, 2024. ​ Our elections are conducted electronically by district and will be held on Tuesday, June 11th, 2024. ​ 1. Send a photo of yourself to us at BXV_NPC@YAHOO.COM Please feel free to reach out to any NPC member or to our general email to learn more or with any questions on the application, the election process, or member requirements at BXV_NPC@YAHOO.COM ​ ​ OVERVIEW OF NPC MEMBERSHIP ​ Election of Members ​ Each year, the NPC brings on at least seven new members from each of the seven subdistricts of the Village. The Committee has a total of twenty-one members who each serve staggered three-year terms. Terms begin July 1 following the election with a welcome meeting for elected members to be held following the election in early June. A list of current members and terms can be found in the Members tab. ​ ​ Note that three of the new members for this year assumed the unexpired terms of previous Committee members, and intend to stand for re-election in their districts pursuant to the NPC Plan and Rules. ​ ​ According to the NPC Plan, “Members of the Committee shall be at least eighteen (18) years of age and shall have resided in the Bronxville School District for at least one (1) year as of the first day on which their term begins. ” ​ ​ Please note that providing us an application means that your name will be included on the NPC electronic ballot, along with your bio, however, our Rules permit write-in candidates. Anyone residing in the Village over the age of 18 may vote. ​ ​ Meetings and Requirements The Bronxville NPC begins meeting in September, and typically meets on Tuesday nights at 7pm. The NPC is a consensus and process driven organization and therefore the commitment requires attendance at all or at least most meetings, and are mostly held in-person. The meeting schedule for this past year, which should be similar to the upcoming year, is found on this website at Schedule. ​ ​ The mission of the NPC is embodied in the NPC Plan and Rules, and therefore another key requirement is that all members have read and are fully familiar with our Plan and Rules, which can be found on this website. Finally, the NPC seeks to be transparent in its process overall but does maintain a level of confidentiality with respect to its recruiting, vetting, and voting processes, in order to provide potential applicants a measure of privacy and encourage a full and fair deliberative process on the selection of its nominees for Board of Ed trustee seats. The NPC Mission The NPC Plan, first adopted in 1936, outlines the mission of the NPC to "procure the election of the Trustees of the Bronxville School District in a non-partisan manner .... In choosing such candidates, their party affiliations shall be disregarded and consideration given solely to their qualifications for the position." ​​ The NPC Rules of Procedure in Section IV, 14 describes the criteria to be applied in selecting Trustees as follows:​ "It is the policy of the Committee that a nominee for Trustee shall be an individual whose educational or professional background and/or volunteer experience will enhance the candidate’s effectiveness and who will make a substantial contribution to the deliberations of the Board. The candidate must be knowledgeable about the needs of the Bronxville School and community and must be a registered voter in the Bronxville, N.Y. election district.     APPENDIX I ​ ​ Description of Recommended NPC Voting System For the Selection of NPC Nominees for Trustee of the BUFSD ​ ​ Principles Underlying NPC Voting Procedures: ​ - In each Voting Round, other than a Run-Off Qualification Voting Round (RQR), each NPC member will cast one vote for each Trustee seat up for election for which a nominee has not been elected in a previous round. - In RQRs, each NPC member will cast one vote to determine candidates who will be included in subsequent Voting Rounds. The candidate who receives the fewest votes in a RQR will not be included in subsequent Voting Rounds. A candidate may not be elected as a nominee in a RQR. ​ - A candidate will not be elected as nominee due to the elimination of another candidate. All votes in which a nominee can be elected will be “contested”, i.e., there will be more candidates than seats for which a nominee has not been elected. ​ - Voting is non-cumulative. ​ - Tallies of votes are not disclosed by vote counters. Candidates who are nominated (i.e. receive 14 or more votes, except as otherwise provided herein) are identified as nominees and, in RQRs, members advancing to the next Voting Round are identified. Vote counts are not to be disclosed to Committee members. ​ - Only NPC members who have personally interviewed ALL individuals seeking the NPC nomination as Trustee are eligible to vote in the nominee selection process. Participation by all NPC members is urged. ​ - Before voting begins in contested elections, it is recommended that each NPC member should be allowed not less than 3 minutes to discuss his/her criteria for evaluating candidates and to discuss their impressions of individual candidate’s strengths/weaknesses. After each NPC member has been heard, it is further recommended that the Committee hold an open discussion of not less than 20 minutes. Proxy votes (that is, votes cast by NPC members who are not physically present at the election meeting) are counted for the first round that such NPC members are not physically present at the election meeting. Proxy votes will not be counted for any rounds subsequent to the first round that such NPC members are not physically present at the election meeting. ​ ​ - It is recommended that between voting rounds the Committee hold an open discussion of a length to be determined by the Committee. - All voting shall take place during one election meeting, unless a second vote night is approved by a vote of 14 or more members. General Description of Voting Procedures: ​ a. In Voting Rounds 1 through 3, all candidates other than those who have been elected as nominees in previous rounds are placed on the ballot. Any candidate receiving 14 or more votes in a round is elected as a nominee. Voting will cease when the number of nominees elected is equal to the number of Trustee seats up for election. b. In Voting Rounds 4 and after, all remaining candidates are placed on the ballot. Except as provided in paragraph d. below, any candidate receiving 14 or more votes is elected as a nominee. The candidate with the fewest votes will be removed from the ballot and NPC members will vote again for the remaining candidates. Except as provided in paragraph d. below, any candidate receiving 14 or more votes is elected as a nominee. This voting procedure will be repeated until nominees have been elected for all Trustees seat up for election. Note: At such time as the number of applicants eligible for election is one greater than the number of Trustee seats for which a nominee has not been chosen in a previous Round, all candidates will be listed on the ballot. This voting procedure will be repeated until the number of nominees elected in all Voting Rounds is equal to the number of Trustee seats open for election. ​ c. If in Voting Rounds 4 and later, the number of candidates exceeds the number of seats for which a nominee has not been elected by two or more, and there is a tie for the candidate with the fewest votes, then a RQR will be held. Candidates tied for the fewest votes will be placed on a ballot. Each member will place one vote for the candidate which he/she supports to be placed on the ballot for the next Voting Round. The candidate with the fewest votes will be removed from the ballot and another Voting Round will take place. In the event that a RQR results in a tie for fewest votes, the procedure will be repeated until a one candidate receives the fewest votes. d. If, at any time after Voting Round 4, the number of applicants eligible is one (1) greater than the number of Trustee seats for which a nominee has not been chosen in a previous Round, and if no applicant has been elected with 14 votes for two (2) successive Rounds, then in the third successive round the number of votes required shall be reduced to 13 votes, and each Round thereafter the votes required to elect shall be reduced by one (1) vote per Round until a nominee is elected. By way of example, if there is one Trustee seat available as of Round 5 and two candidates remaining, and neither candidate remaining receives 14 votes in Round 5 or Round 6, then in Round 7 the number of votes required is reduced to 13, and if no candidate is elected in Round 7 then the number of votes required is reduced to 12 in Round 8, and so on. ​ ​ Detailed Description of Voting Procedures: ​ Definitions ​ Candidate(s)- Individuals who (1) have submitted complete NPC applications in compliance with NPC procedures; (2) are qualified to seek the NPC nomination for Trustee of the BUFSD; and, (3) have participated in NPC interview/due diligence process ​ Nominee(s) - Individuals who have been nominated by the NPC as candidates to seek election as Trustee of the BUFSD with the endorsement of the NPC. Except as otherwise herein provided, applicants must receive at least 14 affirmative votes from NPC members to be elected as a nominee. X - # of Trustee seats up for election N - # of nominees elected by NPC Round I: All candidates are on the ballot. Each NPC member casts one vote for each nomination that needs to be filled. Each candidate who receives at least 14 votes is nominated. If fewer than X candidates are nominated, proceed to Round II. Round II: Candidate(s) nominated in Round I do not appear on the ballot. Each NPC member casts a number of votes equal to the number of nominations that remain to be filled. Each candidate who receives at least 14 votes is nominated. If fewer than X candidates are nominated in Rounds I and II, proceed to round III. ​ Round III: Candidate(s) nominated in Rounds I and II do not appear on the ballot. Each NPC member casts a vote equal to the number of nominations that remain to be filled. Each candidate who receives at least 14 votes is nominated. If fewer than X candidates are nominated in Rounds I, II, and III and if there are more than “X-N+1” candidates in contention, proceed to round IV. If there are “X -N+1” candidates, repeat Round III until remaining nominees are elected. Round IV+ The following candidates do not appear on the ballot: (a) candidate(s) nominated in previous rounds, and (b) the candidate who received the fewest votes in the previous round. If there is a tie for fewest votes in the Voting Rounds 4 or later, the tie is broken by a Run-off Qualification Voting Round (RQR). Each NPC member casts one vote for one of the candidates tied for fewest votes. The candidate who receives the fewest votes does not appear on the ballot, with the other candidate(s) appearing on the ballot. In the event of a tie in a ROQVR, subsequent ROQVR votes will be held on the same basis until one candidate receives the fewest votes – this candidate will not appear on the ballot. Each NPC member casts a number of votes equal to the number of nominations that remain to be filled. Each candidate who receives at least 14 votes is nominated. If fewer than X candidates are nominated in Rounds I, II, III, IV etc., and if there are more than “X-N+1” candidates in contention, repeat Round IV procedure until there are “X-N+1” candidates. When there are “X-N+1” candidates, the following candidates do not appear on the ballot: (a) candidate(s) nominated in previous rounds, and (b) candidate (s) who received the fewest votes in any previous round. Each NPC member casts a number of votes equal to the number of nominations that remain to be filled. Each candidate who receives at least 14 votes is nominated. This process is repeated until all nominations are filled. Round V+ If the number of applicants available is one greater than Trustee seats available, and if no applicant has been elected for two consecutive rounds, then: (1) in the next round of voting the number of votes required is reduced to 13; and (2) in each successive Round thereafter the number of votes needed is reduced by one vote until a candidate is elected. ​

    Appendix II Exhibit A ​ THE FORMATION AND ROLE OF NPC SUBCOMMITTEES ​ The following are subcommittees that the NPC, if approved by the NPC in the Spring, will include in their organization for the following year: 1. Executive Committee: The Chairperson, Vice Chairperson, and Secretary/Treasurer, elected pursuant to Section II of the Rules of Procedure of the Non-Partisan Committee (the “Rules”), comprise the Executive Committee. NPC officers meet regularly to coordinate subcommittees, ensure timetables are met, and relay information to members. Also, a brief outline of the Executive Committee discussion points shall be provided to all NPC members, and/or reviewed at a regular NPC meeting. ​ ​ 2. Nominating Committee: In September, the Executive Committee with the concurrence of the majority of the NPC shall appoint no less than five members representing different election districts, the majority of whom shall be members retiring from the NPC, to serve on the Nominating Committee. (Requires amendment to Section II of the Rules, as set forth in Exhibit A hereto.) ​ 3. Recruitment Committee: The members of the Recruitment Committee (the “RC”) shall be appointed by the Executive Committee with the concurrence of the majority of the NPC. The RC shall be comprised of at least five members (both officers and non-officers). The RC begins work in September, by coordinating the recruitment of potential Trustee applicants and potential NPC members. (Further details are described in the proposed new Appendix II to the Rules, which is attached hereto as Exhibit B.) ​ 4. Application Administration Committee: Once the Trustee application deadline has passed, the Application Administration is nominated by the Nominating Committee in consultation with the Executive Committee and approved by a majority of the NPC. All information related to Trustee applicants (applications, recommendations, references, feedback, etc.) is processed within this subcommittee. (Further details are described in Exhibit B.) ​ 5. Policy and Procedures Committee: The Policy and Procedures Committee reviews complaints and members’ conflict of interest forms. (Further details are described in Exhibit B.) ​ 6. Technology Committee as defined below: Focuses on ensuring the NPC email distribution list is up-to-date. Updates the NPC website. Works with the Public Relations Committee to increase the visibility of the NPC, including through the use of Facebook and other outlets. Works with the Treasurer to raise funds for the NPC to cover operating costs. ​ ​ 7. Public Relations Committee as defined below: Ensures press releases are sent to newspapers and other outlets in a timely fashion. Updates and monitors the NPC e mail address account. Governance surrounding the above committees: Before September, a survey of interest in committees is sent by the Executive Committee to newly elected and returning members. Each Spring, the NPC meets to discuss and determine which subcommittees shall be necessary for the coming year. In September, the Executive Committee, with the concurrence of a majority of the NPC, shall appoint members to be included in each committee (other than the Application Administration Committee) that the NPC has decided to form for that year. Each subcommittee chair and/or co-chair shall invite all NPC members to every meeting, and shall provide a telephone conference call number for members that are unable to attend in person. Attendance at these subcommittee meetings are not mandatory for members who do not sit on the relevant subcommittees. Also, a brief outline of the meeting’s discussion points shall be provided to all NPC members, and/or reviewed at a regular NPC meeting. The Secretary will be responsible for ensuring subcommittee updates are submitted to the Chairman prior to regular NPC meetings in a timely fashion so as to be included in e mail distributions of weekly NPC meeting agendas. ​ ​ Exhibit B ​ DESCRIPTION OF RECOMMENDED SUBCOMMITTEES OF THE NPC ​ ​ I. Recruitment Committee ​ A. The Recruitment Committee (“RC”) shall be defined as follows: ​ The role of the RC is to coordinate the recruitment of potential Trustee applicants and potential NPC members. The RC develops a long-term strategy of recruitment, with consultation from all members. Focus is not only on the year directly ahead, but several years into the future. For example, the recruitment process may begin three years ahead of time for a specific characteristic (i.e. accounting expertise is important for the BOE). RC members are the candidates’ NPC liaison to answer questions and/or provide information. The RC’s job is organizational in nature. All NPC members are encouraged to assist the RC in the recruitment of Trustee and NPC applicants, and to suggest desired applicant characteristics. All members are invited to RC meetings. These meetings are not mandatory for non-RC members. Notes of RC meetings shall be disseminated by the Chair or Co-Chairs of this subcommittee to the Committee as the next scheduled NPC meeting or sooner if appropriate. Soon after the Trustee application deadline, the RC Committee shall assist the Public Relations Committee in publicizing to the Bronxville Community all the Trustee applicants. Each September, the Executive Committee, with the concurrence of a majority of the Committee, shall appoint no less than five members to the RC. The RC shall be comprised of both officers and non-officers. They will encourage potential Board of Education Trustee applicants to attend BOE meetings, meet current and ex-Trustees, and any further information they may need to make a determination to become a Trustee. ​ B. Introductory Letter and Meeting: An Introductory Letter detailing the process of due diligence that the NPC undertakes for all School Trustee applicants will be delivered by the RC to each applicant. It will be made clear in this letter that applicants have three opportunities to make their case to the NPC about the strength of their candidacy: written response in the application (plus any follow-up necessary), references, and interview. Each September, the Introductory Letter will be drafted by the RC and subject to the approval of a majority of the NPC. In October and/or November, an Introductory Meeting may be held by the RC with potential Trustee candidates to review the NPC process. Ex-Trustees and/or all NPC members may attend this RC sponsored meeting. ​ C. Trustee Application: ​ Each year, a comprehensive Trustee application shall be drafted by the Recruitment subcommittee, and approved by a majority vote of the NPC. Includes a survey of conflicts of interest with NPC members, school board officials, political parties, and/or employees of the Bronxville Schools. This survey will inquire as to the specific nature of these relationships, if any. Includes approvals of compliance, if required, from the applicant’s professional, charitable and civic organizations. Questions may be asked, such as the following: If there is a contested election, will you be open to a debate? Do you believe you would be interested in running again in three years, if you are nominated and elected this year? Once the Trustee application deadline has passed, a candidate is prohibited from contacting any member about their candidacy. Only in extraordinary circumstances may a Trustee applicant contact a member of the NPC to discuss his/her application or the NPC process. Any such instances must be reviewed by the Policy and Procedures Committee. ANY VIOLATION OF THE ABOVE MAY RESULT, upon a majority NPC vote, IN SANCTIONS to be determined. ​ D. NPC Conflict of Interest Disclosure Form: For information purposes, all conflicts of interest with Trustee applicants shall be disclosed by NPC members on the Conflict of Interest Disclosure Form, which will be created by the RC and subject to the approval of a majority of the NPC. These conflicts may include personal friendships, professional relationships, and/or other areas the RC believes could pose issue in the NPC process. This form will be completed by each NPC member within 48 hours of the application deadline. The Disclosure Form shall be reviewed by the Policy and Procedures Committee. Conflicts of interest will be disseminated to all members at the first NPC meeting to be convened after the application deadline. If any such conflict of interest shall arise after the submission by a member of his/her Disclosure Form, that member shall promptly notify the Policy and Procedures Committee within 48 hours of such conflict of interest. These conflicts of interest will be reviewed again by the NPC 48 hours prior to Deliberations Night and Vote Night. ​ FAILURE TO DISCLOSE A CONFLICT OF INTEREST MAY, upon a majority NPC vote, RESULT IN SANCTIONS to be determined. II. Application Administration Committee A. The Application Administration Committee shall be defined as follows: ​ The Nominating Committee nominates members on the Application Administration Committee, in consultation with the Executive Committee, soon after the Trustee application deadline. Preferably, these members are not on the RC, nor have any conflicts of interests with the applicants. Members of this committee may be officers. This subcommittee shall be approved by a majority vote of the NPC. Once the Trustee application deadline has passed, all information related to Trustee applicants is processed within the Application Administration Committee. Each Trustee candidate’s application, recommendations, feedback, references and other material deemed relevant is delivered to all members, preferably by a secure electronic mechanism that is accessible only to members of the NPC, prior to such applicant’s Interview Night. The role of the Application Administration Committee is to organize a focused, systematic, uniform, thorough yet considerate process of gathering information on Trustee candidates. The Application Administration Committee replaces the role of Candidate Coordinators, defined in previous guidelines. B. References and Community Feedback: References and Community Feedback should be consistent for all applicants. A maximum of 3 references provided by the applicant: All verbal interviews of references shall be conducted with at least two members of the Application Administration Committee. After verbal interviews, references may wish to give further information about the applicant in writing to the committee. A maximum of 4 supplemental references shall be identified by the Application Administration Committee from other sources: These references shall be derived from the applicant’s involvement with civic, charitable, and community involvement. With consultation from the Policy and Procedures Committee, the Application Administration Committee suggests supplemental references. Any member may suggest supplemental references. Supplemental references must be approved by a majority vote of the NPC. Notes of all phone interviews shall be made in writing and transmitted to members prior to applicant’s Interview Night. Phone interviewers delineate their calls. For example, one member pairing could call all the professional references of all applicants. Another member pairing calls all the civic and charitable references of all applicants. Community Feedback: All members are encouraged to gather information on applicants, and pass this information to the members of the Application Administration Committee. All community feedback is transmitted to members prior to applicant’s Interview Night, in writing. No anonymous feedback is allowed. Any information that is shared with the NPC’s officers and/or members up until the vote night should be shared with all members if deemed relevant by the Application Administration Committee, but any information received after the vote night shall be discarded and not shared with any member of the NPC. Members may vet applicants with the Bronxville Community, but campaigning on behalf of an applicant (s) is prohibited. For example, when Bronxville residents have opinions about Trustee applicants, they are directed to write a letter to the NPC e mail address. Except as set forth in paragraph 3 above, NPC members shall not solicit reference letters for any particular applicant. The Policy and Procedures Committee reviews proper conduct for all NPC members throughout the year. ​ III. Policy and Procedures Committee ​ A. The Policy and Procedure Committee shall be defined as follows: ​ Each year, the Executive Committee, with the concurrence of the NPC, shall appoint no less than five members of the Policy and Procedures Committee members. The majority of the subcommittee members must be retiring third year NPC members. B. The Policy and Procedures Committee shall focus on the following: ​ Conflict Resolution : The Policy and Procedures Committee reviews all complaints regarding the NPC, its members, and/or its processes from any source, such as NPC members, Trustee and/or NPC member applicants, and public criticism. Within 48 hours of receiving a complaint, no fewer than 3 members of the Policy and Procedures Committee meet to review the situation. After the Policy and Procedures Committee meets and reviews a complaint, the Committee shall make a verbal briefing at the next occurring NPC meeting. Conflict of Interest Disclosure Form : The Policy and Procedures Committee reviews all members’ disclosure forms, and relays to the full NPC a summary. The committee reminds all members of any conflicts of interest on Deliberations and Vote Nights. Supplemental References : The Policy and Procedures Committee assists the Application Administration Committee in identifying supplemental references to be called for Trustee applicants. Conduct of NPC members: The Policy and Procedures Committee reviews members’ conduct throughout the year. For example, members may vet applicants with the Bronxville Community, but campaigning for an individual applicant is prohibited. The Policy and Procedures Committee may give examples to the NPC that will assist the NPC to safeguard its impartiality and/or ensure collegial behavior. NPC Plan, Rules, and/or Guidelines Review : Any member may bring forth to the Policy and Procedures Committee a potential rule change, modification, and/or elimination. Preferably, these potential changes would be reviewed at the end of the NPC year. After reviewing, the Policy and Procedures Committee shall brief the full NPC. Overseer of Deliberations Night and Vote Night : One member is chosen from the Policy and Procedures Committee to oversee these two nights, the procedures for which are suggested below. This member is approved by the NPC. (Further details in Appendix II to the Rules) Transitional Meeting : In May or June, the Policy and Procedures Committee engages the current officers, 3rd year members, and future officers in an end-of-the year meeting to assess the past year and to discuss potential changes to procedures and policies to help the NPC function better into the future. Confidentiality : Each year, the Policy and Procedures Committee ensures that each member signs an approved NPC confidentiality agreement. Violating the confidentiality agreement undermines the NPC process and candidates. A potential breach of the confidentiality agreement should be discussed with the Policy and Procedures Committee. ​ ​ AN ABROGRATION OF A MEMBER CONFIDENTIALITY AGREEMENT, IF DETERMINED BY A MAJORITY OF THE NPC, MAY RESULT IN SANCTIONS to be determined. ​ 9. If a member of the Policy and Procedures Committee is the subject of a complaint and/or allegation, then he/she shall consider recusing himself/herself from the discussion of the subcommittee. Also, a Policy and Procedure member may be recused by a majority vote of the Policy and Procedures Committee. ​ Interview Night (s): Mandatory Questions: Each year, mandatory questions may be approved by a majority vote of the NPC. These questions are asked to each applicant. Open Forum Questions: Any member may ask questions during this period of the Interview Night. Interview Nights are mandatory meetings for members; provided, that in the event that a member is unable to attend an Interview Night due to circumstances beyond such member’s control, such member may satisfy his/her obligation to attend an Interview Night if such member views recording of the interviews held that night as permitted by paragraph 5 below. Supplemental meetings with applicants are allowed, if approved by the NPC. More than one Interview Night per applicant may occur, if approved by the NPC. Interviews may be videotaped, if approved by a majority vote of the NPC and consented to by the applicant. One member, approved by a majority vote of the NPC, is tasked to ensure that the videotape is safeguarded, and discarded once NPC nominees have been chosen. An interview will only be videotaped in the event that all members are not present for that interview. The sole purpose of the videotape is to allow absent members to view the interviews. Deliberations Night and Vote Night: Both nights’ agendas shall be approved by a majority vote of the NPC. These agendas include minutes allowed for each member to discuss the qualifications for candidates. During Vote Night--between voting rounds--there will be an open forum, as required by Appendix I in the Rules of Procedures. Each member’s allotted time during this open forum will be approved by the full NPC. Both these meetings are overseen by a member chosen by a majority vote of the NPC. This member is preferably a 3rd year member from the Policy and Procedures Committee. Also, a first alternate shall be chosen as back-up. The overseer ensures these meetings follow NPC rules, such as minutes required for discussion, and each member’s allocated speaking time. The overseer is prohibited from counting votes. IV. Technology Committee ​ The Technology Committee is defined as follows: In September, the Executive Committee with the consent of the NPC shall appoint members to the Technology Committee. ​ B. The role of this subcommittee is to do the following: Focus on ensuring the NPC e mail distribution list is up-to-date. Update the NPC website.
